Acceptance of Terms

1. These terms and conditions are a legally binding contract between you and Soyle Inc. (hereinafter, “Soyle” and collectively with you, the “Parties”), governing how you use and purchase on the Website (hereinafter, the “Contract”).

Website Use and Eligibility

The use of our Website is intended for any natural person who is at least 18 years old and legally capable of entering into contracts or any corporations, joint ventures, partnerships, groups and associations, for which any natural person acting in capacity and status of one of these legal persons. 1. Product prices are in Canadian dollars CAD and displayed on our website. Prices are subject to change without prior notice by Soyle. We strive to ensure accuracy; however, pricing errors may occur. In such cases, we reserve the right to cancel orders and provide refunds.

Payment

Taxes

Import/export Duty and tariff

1. Purchases made by Users on Soyle’s website for outside of Canada may be subject to customs brokerage & import duty, which is the responsibility of the User.

Delivery Times and Methods

1. Delivery times and methods are estimated and may vary depending on factors beyond our control. We strive to process and dispatch orders promptly but do not guarantee specific delivery dates. We are not responsible for any delays, damages, or losses that may occur during transit.

Shipping Fees

1. Shipping fees are calculated based on the destination and weight of the order. The applicable shipping fees will be displayed during the checkout process.

Returns

Refunds

1. Refunds will be issued in accordance with our Return and Refund Policy. We reserve the right to refuse refunds or apply restocking fees if the returned items do not meet the specified conditions pursuant to our Return and Refund Policy.

Your obligations

1. You hereby specifically agree to:

1. use the Website in good faith, in a reasonable manner, only for legitimate purposes and in compliance with this Contract;
2. not use any device, software or like that could interfere in any way, intentionally or unintentionally with the Website and its proper functioning and its content;
3. not use the Website in a way that could cause any prejudice to Soyle or any third party;

Intellectual Property

Soyle owns, subject to respect of the rights of others, all the intellectual property, content and material on this Website, including without limitation brand names, logos, trademarks, the text and the images, as well as updates, upgrades, corrections, modifications, translations, versions and derivative works, and improvements, as the case may be, of each of the elements referred to in the present article, which are all protected by intellectual property laws, and cannot be used without prior permission by Soyle.

You shall defend, indemnify and hold harmless Soyle and its officers, directors, employees, agents, successors and assigns from and against all claims, losses, damages, liabilities, deficiencies, actions, judgments, interest, awards, penalties, fines, costs or expenses of whatever kind, including legal fees and disbursements, arising out of or resulting from (i) bodily injury, death of any person, or damage to real or tangible personal property, resulting from your, or you employees and sub-contractors, acts or omissions; and (ii) your, or you employees and sub-contractors, your breach of any representation, warranty or obligation under this Contract.
   
   
3. The preceding limitations and exclusions shall apply to you to the fullest extent permitted by law in all actions of any kind whatsoever.

Governing Law

1. This Contract shall be governed and interpreted in accordance with the laws of the Province of Quebec.
   
   
2. The Parties agree to elect domicile in the judicial district of Montreal, Province of Quebec, Canada, and choose said judicial district for the hearing of any and all claims, matters or legal proceedings arising from this Contract.

Modifications

1. By using our website and placing an order, you acknowledge that you have read, understood, and agreed to these terms and conditions of this Contrat, as well as any amendments that Soyle may make at any time at its sole discretion, subject to any applicable law.

Severability

1. If a provision of the Terms and Conditions of the Program is deemed invalid, unenforceable or found to contain a loophole, such provision shall be replaced by a provision that is as similar as possible from a legal standpoint, and without invalidating the other provisions hereof.

Gender and number

1. Whenever the context requires, any masculine term used herein also shall include the feminine, the plural shall include the singular, and the singular shall include the plural. Any sentence containing such catch-all words should be read, when the meaning of the text requires it, to accommodate the appropriate version of such a word with the necessary grammatical changes so that the sentence in question makes sense.

Privacy and confidentiality policy 

1. Soyle undertakes to protect the confidentiality of personal information provided by the User and collected by Soyle in connection with the Website. Our confidentiality policy https://soyle.ca/policies/privacy-policy which describes our collection and use of personal information (the “Confidentiality Policy”), is incorporated herein by reference and is an integral part of this Contract.
   
   
2. The User hereby authorizes Soyle to collect, analyze, use, communicate and keep personal information about him/her/it, pursuant to the Confidentiality Policy.

Termination

1. Soyle may intentionally interrupt or terminate this Contract and suspend or restrict access and/or use of all or part of the products and services, at its sole discretion, without any liability and pursuant to the provisions of the present Contrat.
   
   
2. In the event of a force majeure, seriously compromising Soyle’s will or ability to maintain the Business or part of it or provide access to the Website or its content, the availability of any and all products and services may be suspended or even terminated.

Return and Refund Policy

Eligibility

• All products, except sale/clearance items, any item marked “final sale" and any item customized for you by Soyle, are eligible for returns or exchange.
• The products must be unused and in their original unopened manufacturer's packaging.
• Please note that due to food safety regulations, opened merchandise cannot be accepted unless the items are proven to have been shipped in error or damaged during shipping. For clarity, any shipping box or other delivery packaging containing our products that is opened, or otherwise not in its original packaging cannot be returned to Soyle.
• Invoice must be included with the return request.
• An exchange will be made for a product or a pre-tax bundle of products at least equal to the pre-tax price of the returned item.
• Any and all gift cards are excluded from the Return and Refund Policy.

Return and exchange window

• Items eligible for return or exchange must be returned within 15 days from the date of receipt of your order.

Return and exchange process

• Please contact our Client Service team at info@soyle.ca to initiate the return process.
• Our Client Service team will provide you with a return label and detailed instructions.

Return Shipping and Restocking Fee

• Customers are responsible for the cost of return shipping.
• A 15% restocking fee will be deducted from your refund to cover processing and restocking expenses.

Refund processing

• Once we receive and inspect the returned products, and the returned products are eligible for return at Soyle’s sole discretion, we will credit your original form of payment.
• Please allow up to 14 business days for the refund to be processed.
• Other delays, such as those caused by banks, are beyond our control.
• The refund amount will be the original purchase price minus the return shipping cost and the 15% restocking fee.

Please note that this return policy is subject to the following conditions:

• We reserve the right to refuse returns that do not meet the eligibility criteria mentioned above.
• Return shipping and restocking fees are non-refundable, except in cases where the items were shipped in error or damaged during shipping.
